(HYG), a world-class manufacturer of tailored forklift, attachment, and fuel cell solutions, has an outstanding opportunity for an exceptional and talented Senior Counsel - Americas located in either Charlotte, NC, or Greenville, NC. If located in Charlotte, NC there will be periodic travel required to our Americas Headquarters in Greenville, NC.

The Senior Counsel - Americas provides legal counsel to the Americas Division and assists the Vice President, Associate General Counsel, on all issues affecting the Americas Division (excluding Brazil), with a particular emphasis on Procurement, Manufacturing and Operations, and Human Resources. This position may be required to support global legal department initiatives and provide counsel to entities in the wider group.

The Senior Counsel - Americas will provide the following key responsibilities:

  • Procurement: Assist the Supply Chain organization in negotiating and drafting master supply agreements and other supply contracts. Advise business stakeholders regarding disputes with suppliers and consult outside counsel as necessary.

  • Manufacturing and Operations: Provide legal support to Company locations on manufacturing and operations issues, including negotiating and drafting agreements regarding acquisition of equipment, vendor services, and real estate leases.

  • Human Resources/Compliance: Advise HR department on issues relating to recruiting, hiring, disciplining, and terminating employees, consulting outside counsel as necessary. Work with HR personnel to ensure the Company’s employment practices and policies are current and compliant with applicable law. Also, facilitate training of Company personnel on Company policies and procedures including Code of Conduct, harassment prevention, anti-trust avoidance, etc.

The position will also assist in additional areas, including:

  • Sales Agreements: Facilitate business review, draft and negotiate sales contracts with end customers, including Major Account sales agreements, non-disclosure agreements and responses to requests for proposals.

  • Dealer Agreements:Negotiate, draft, and conclude dealer agreements and advise on legal matters relating to dealer relationships, including termination, breach of contract, and issuing formal correspondence.

  • Marketing:Review advertisements, press releases, product brochures, and other marketing materials and provide appropriate edits and comments according to the Company’s literature review policy.

The ideal Senior Counsel - Americas candidate will have the following minimum qualifications:

  • Juris Doctor degree from an accredited law school

  • A minimum of 7years’ experience as a practicing attorney gained in either a law firm or corporate environment

  • Strong legal writing ability; analytical skills and transactional experience

  • General familiarity with business laws and legal compliance requirements

  • Good presentation and communication skills, ability to deliver training effectively

  • Experience with government contracting, highly preferred.
